These Terms of Service govern your use of websites, apps, software products, and general services provided by Idle Cat Labs LLC. A signed proposal, statement of work, order form, license, or other written agreement may contain additional terms. If there is a conflict, the specific written agreement controls for that transaction.

Website use

You may use this website for lawful informational and business purposes. You may not interfere with its operation, attempt unauthorized access, submit malicious content, misrepresent your identity, or use the site in violation of law or third-party rights.

Professional services

Custom development and consulting services begin only after the parties agree on scope, commercial terms, and authorization to proceed. Customers are responsible for providing timely access, information, content, decisions, and approvals needed to perform the work. Estimates and target dates may change when requirements, dependencies, or customer inputs change.

Billing, delivery, cancellation, and refunds

Commercial policies are described in our Billing, Delivery, Cancellation & Refund Policy and in the applicable project agreement. All public references to currency are in USD unless expressly stated otherwise.

Apps and third-party platforms

Apps distributed through the App Store, Google Play, or another platform may also be subject to platform terms, payment rules, review policies, availability, and the platform's standard end-user license terms. Third-party services and integrations may change or become unavailable outside our control.

Intellectual property

This website, our branding, documentation, reusable tools, templates, and pre-existing materials are protected by intellectual property law. Ownership and licensing of custom client deliverables are governed by the applicable written agreement. Customers represent that they have the rights needed for any materials they provide to us.

Feedback and communications

You may send feedback or inquiries through the contact methods on this site. Do not send confidential project information until an appropriate agreement or secure channel is in place. Transactional and support communications may be sent as reasonably necessary to provide requested services.

Disclaimers

Except as stated in a written agreement, this website and general materials are provided on an “as is” and “as available” basis. We do not promise that every feature, article, estimate, third-party integration, or platform process will remain current, uninterrupted, or error-free.

Limitation of liability

To the maximum extent permitted by applicable law, Idle Cat Labs LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the general website or services. Any liability limits in a signed agreement control for the applicable project. Nothing in these terms excludes liability that cannot legally be excluded.

Suspension and termination

We may restrict access to a website, app, or service when reasonably necessary for security, legal compliance, nonpayment, abuse prevention, or protection of users and systems. Project termination rights are governed by the applicable written agreement.

Changes

We may update these terms prospectively. The effective date above identifies the current version. Material project terms are not changed retroactively except as permitted by the applicable agreement or law.
